These terms govern the use of our software development services and establish the legal framework for our business relationship.
By accessing and using the services provided by Armorix Technology, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
Armorix Technology provides custom software development, SaaS platform development, mobile app development, cloud solutions, and technology consulting services to businesses worldwide.
Each project will be governed by a separate Statement of Work (SOW) that outlines specific deliverables, timelines, and requirements. The SOW forms an integral part of these terms.
Payment terms will be specified in each project agreement. Generally, payments are due according to milestone completion or monthly billing cycles as agreed upon in the project contract.
Any changes to the agreed project scope must be documented in writing and may result in adjusted timelines and costs. Additional work outside the original scope will be billed separately.
Upon full payment, clients will own the custom software and applications developed specifically for them, excluding any pre-existing intellectual property or third-party components.
We retain ownership of our proprietary development methodologies, tools, frameworks, and general knowledge gained during project execution.
Projects may include third-party libraries, frameworks, or components subject to their respective licenses. Clients are responsible for compliance with such licenses.
Both parties agree to maintain confidentiality of sensitive information shared during the project. This includes business strategies, technical specifications, and proprietary data.
We implement industry-standard security measures to protect client data and maintain strict confidentiality throughout the development process.
We warrant that our services will be performed with professional skill and care. We will correct any defects in our work at no additional cost for a period specified in the project agreement.
Except as expressly stated, our services are provided 'as is' without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
We are not responsible for the performance, availability, or functionality of third-party services, APIs, or platforms integrated into client projects.
Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Either party may terminate the agreement with written notice. Upon termination, payment is due for all work completed and expenses incurred up to the termination date.
Upon termination, we will deliver all completed work and transfer any agreed-upon intellectual property rights, subject to full payment of outstanding amounts.
These terms shall be governed by and construed in accordance with the laws of the jurisdiction where Armorix Technology is incorporated.
Any disputes arising from these terms or our services shall first be addressed through good faith negotiation. If unresolved, disputes may be submitted to binding arbitration.
These terms, together with any applicable SOW, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.
These terms may only be modified in writing and signed by both parties. We reserve the right to update these terms with notice to clients.
If any provision of these terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
